1. I1. INTRODUCTION

These Terms and Conditions (“Terms“) govern your use of websites, online platforms, digital services and other services operated by Williams Alicey Group (“WAG”, “we”, “us” or “our”).

If you do not agree with these Terms, you should not use the relevant website, platform or service.

Certain WAG businesses, products or services may be subject to additional terms and conditions. Where additional terms apply, those terms will be communicated to you and will form part of the agreement between you and the relevant WAG entity.

References to “WAG” in these Terms may, depending on the context, refer to the relevant WAG entity providing the particular product or service.

Nothing in these Terms automatically creates a contractual relationship between you and every company within the WAG group.

You may use WAG websites and platforms only for lawful purposes.

You agree not to:

9. PAYMENT

Payments may be processed through third-party payment providers.

By making a payment, you confirm that you are authorised to use the relevant payment method.

WAG may use appropriate payment-security and fraud-prevention measures.

WAG does not ordinarily store complete payment-card details where payment processing is handled by an authorised third-party payment provider.

Payment may be subject to the terms and conditions of the relevant payment provider.


10. DELIVERY

Where delivery services are offered, delivery will be made to the address provided during the ordering process.

Delivery times provided by WAG are estimates unless expressly guaranteed.

Delivery may be affected by:

  • Product availability;
  • Supplier delays;
  • Courier delays;
  • Weather;
  • Traffic;

  • Incorrect delivery information;
  • Events beyond our reasonable control; or
  • Other logistical circumstances.

Where available, click-and-collect orders may only be collected after WAG confirms that the order is ready.

WAG may refuse collection where appropriate verification cannot be completed.


12. RETURNS, REFUNDS AND EXCHANGES

Returns, refunds and exchanges will be handled in accordance with applicable South African law and the relevant WAG entity’s applicable returns policy.

Depending on the circumstances, products may be eligible for:

  • Return;
  • Repair;
  • Replacement;
  • Refund; or
  • Other appropriate remedy.

Certain products may be subject to specific return requirements due to their nature, condition, customisation, use or legal restrictions.

Nothing in these Terms is intended to exclude or limit any consumer rights that cannot lawfully be excluded or limited.


13. WARRANTIES AND PRODUCT GUARANTEES

you remain responsible for the content you submit.

You must not submit content that:

  • Is defamatory;

  • Contains malicious software;
  • Contains another person’s confidential information without authorisation; or
  • Is otherwise inappropriate.

By submitting content to WAG, you grant WAG a non-exclusive right to use, reproduce, display and distribute that content for legitimate business purposes, subject to applicable law.

WAG may use or integrate third-party services, including:

  • Analytics providers;

Suspected security vulnerabilities should be reported to WAG rather than exploited.


20. PRIVACY

WAG’s collection and processing of personal information is governed by its Privacy Policy.

By using WAG websites or services, you acknowledge that personal information may be processed in accordance with the applicable Privacy Policy and applicable law.


21. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, WAG will not be liable for indirect, incidental, consequential or special losses arising from your use of our websites or services.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

Nothing in these Terms limits statutory consumer rights or remedies that cannot lawfully be excluded.


22. FORCE MAJEURE

WAG will not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters;
  • Fire;
  • Flood;
  • Severe weather;
  • War;
  • Civil unrest;
  • Government action;
  • Industrial action;
  • Power failures;
  • Telecommunications failures;
  • Cybersecurity incidents;
  • Supply-chain disruption;
  • Transport disruption; or
  • Other events beyond reasonable control.

WAG will take reasonable steps to minimise the effects of such circumstances.


23. INDEMNITY

To the extent permitted by law, you agree to indemnify WAG against losses, claims, damages or expenses arising from your unlawful use of WAG websites, platforms or services, your breach of these Terms, or your infringement of another person’s rights.

This provision does not apply to the extent that the relevant loss results from WAG’s own unlawful conduct or where such limitation is prohibited by law.


24. TERMINATION

WAG may suspend or terminate access to a website, platform or account where:

  • These Terms have been breached;
  • Fraudulent or unlawful activity is suspected;
  • Security is threatened;
  • Access creates a material risk to WAG or another user; or
  • We are otherwise legally entitled to do so.

Termination will not affect rights or obligations that accrued before termination.


25. CHANGES TO THESE TERMS

WAG may amend these Terms from time to time.

Changes may be made to reflect:

  • Changes in legislation;
  • Changes to our services;
  • Changes to technology;
  • Changes to our business;
  • New products or services; or
  • Improvements to our operating practices.

The latest version will be published on the relevant WAG website.

Your continued use of the relevant website or service after the effective date of amended Terms may constitute acceptance of the updated Terms, where permitted by law.


26. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from these Terms will be subject to the applicable laws and jurisdiction of South Africa.

Nothing in these Terms prevents a consumer from exercising rights available under applicable consumer-protection legislation.


27. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the extent necessary to make it lawful and enforceable.

If this is not possible, the affected provision will be severed from these Terms.

The remaining provisions will continue in full force and effect.


28. NO WAIVER

A failure or delay by WAG to enforce any provision of these Terms does not constitute a waiver of that provision or of WAG’s right to enforce it in the future.


29. ENTIRE AGREEMENT

These Terms, together with any applicable policies, product-specific terms, service agreements and other contractual documents expressly incorporated by reference, constitute the agreement governing your use of the relevant WAG website or service.

Where a specific written agreement exists between you and a WAG entity, that agreement will prevail over these general Terms to the extent of any inconsistency.
